Constitution and Bylaws Committee

CONSTITUTION AND BYLAWS COMMITTEE MEMBERS

 


Committee Charge

The Constitution and Bylaws Committee shall:

  1. Consider and make recommendations to the Board of Directors concerning the roles and responsibilities of the Board of Directors, Executive Committee, and Executive Director consistent with the Constitution and Bylaws of NCHC and the contract of employment of the Executive Director.
  2. Consider and make recommendations to the Board of Directors concerning the relationship among the Board of Directors, Executive Committee, Executive Director, and the standing committees of NCHC.
  3. Consider and make recommendations to the Board of Directors concerning any other matter pertaining to the governance of NCHC.
  4. Search for a board manual that the Board of Directors can use, or modify appropriately, based upon what the committee develops as the relationships between the Board of Directors, the Executive Committee, the Executive Director, and the standing committees.
  5. Process recommendations relative to the Constitution and Bylaws and perform the technical work necessary to put changes into proper form so that they can then be voted upon first by the Board of Directors and then by the membership.
  6. Initiate steps whenever necessary to revise the Constitution and Bylaws in order to bring about clarity and consistency.
  7. Make recommendations, if requested, to the President and the Board of Directors on interpreting the Constitution and Bylaws.
  8. Update standing orders annually.
  9. Report regularly in writing to the Board of Directors.
  10. Work to meet the goals and objectives of NCHC’s Mission Statement.  {October 2012}
